1. Introduction
These Terms of Service (“Terms”) govern the use of the Vault 5 Studios website and associated services, including the “Vault Portal”.
By engaging our services, you agree to these Terms in full.

Vault 5 Studios is a trading name of Vault5Digital Ltd, a company registered in England and Wales.
2. Services
Vault 5 Studios provides cinematic video production, documentary filmmaking, and brand storytelling services.
Each project is delivered in accordance with an agreed proposal, quotation, or project brief. Timelines are estimates unless explicitly agreed otherwise.
We operate a “Reserved Specialist” approach, meaning we allocate dedicated time, crew, and equipment specifically for your project.
3. Client Responsibilities
To ensure timely delivery, clients agree to:
- Provide accurate and complete project information
- Supply feedback within agreed timeframes
- Ensure all necessary permissions (locations, contributors, music, etc.) are secured unless otherwise agreed
Delays in feedback or materials may result in revised timelines and additional costs.
4. The Vault Portal
Clients may be granted access to the Vault Portal for project tracking, file delivery, and feedback.
- Access is personal and must not be shared without permission
- We are not responsible for issues caused by third-party platforms used to host or deliver the Portal
5. Intellectual Property
Ownership
Upon full payment, the final delivered video(s) are licensed to the Client for agreed usage purposes.
Unless otherwise agreed in writing:
- Vault 5 Studios retains ownership of all underlying intellectual property
- This includes raw footage, project files, and unused material
Usage Rights
Clients are granted a licence to use the final video for their intended purposes (e.g. website, social media, marketing).
Portfolio Use
Vault 5 Studios reserves the right to use excerpts of completed work for:
- Portfolio
- Marketing
- Showreel
Unless a signed NDA or written restriction is agreed prior to filming.
Raw Footage
Raw, unedited footage remains the property of Vault 5 Studios unless explicitly included in the project agreement.
6. Payment Terms
- Payment structure will be outlined in your project proposal or invoice
- A deposit is required to secure project dates and resources
- Deposits are non-refundable except where required by law
Final deliverables may be withheld until full payment is received.
Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
7. Revisions
Projects include two rounds of consolidated revisions unless otherwise agreed.
Additional revisions, changes in scope, or new direction after approval may incur additional fees.
8. Cancellations and Consumer Rights
Business Clients
Deposits are non-refundable due to allocation of time, crew, and resources.
Individual Consumers
If you are acting as a consumer, you may have the right to cancel within 14 days under the Consumer Contracts Regulations 2013.
If you request work to begin within this period, you acknowledge:
- Your right to cancel may be reduced
- You may be charged for work already completed
9. Delivery and Timelines
All timelines are estimates unless explicitly agreed in writing.
Vault 5 Studios is not responsible for delays caused by:
- Late client feedback
- Third-party approvals
- External factors outside our control
10. Limitation of Liability
To the fullest extent permitted by law:
- Vault 5 Studios shall not be liable for indirect or consequential losses, including loss of profit, business, or opportunity
- Our total liability shall not exceed the total project fee paid
Nothing in these Terms limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence.
This clause is governed by the Unfair Contract Terms Act 1977.
11. Force Majeure
We are not liable for failure or delay caused by events beyond our reasonable control, including but not limited to:
- Severe weather
- Illness or injury
- Equipment failure
- Venue or access issues
- Government restrictions
12. Data Protection
We process personal data in accordance with the UK GDPR.

13. Termination
We reserve the right to terminate a project where:
- Terms are breached
- Payment is not made
- Communication breaks down to the extent delivery is not possible
In such cases, work completed up to termination will be chargeable.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
